Core corporate documents establishing the legal existence, ownership and governance of the raising entity. These are required by every institutional investor and their counsel.
Know-Your-Customer and Anti-Money-Laundering documentation required under the Raise compliance perimeter, which includes OFAC, UN, EU and SA screening obligations. All UBOs and directors are screened.
Audited and management financial information that investors will use to underwrite the raise. IFRS-grade audited statements are required; unaudited management accounts alone are insufficient for institutional capital.
Transaction-level documents that govern the investment relationship. These are typically prepared by the Raise structuring team and transaction counsel, but sponsors must be in a position to provide the underlying information.
Documents governing how capital flows from investors through the Raise structure to the Zimbabwean operating entity, and how returns are repatriated. RBZ exchange-control compliance is required.
